Table of contents
These Plan terms set the commercial terms for Helmstead’s standard plans. They’re part of your agreement with Suverenum Inc., together with our Terms of service and our Data processing addendum (DPA). Words defined in the Terms of service, like “Customer,” “Customer Content,” and “buyer of record,” mean the same here.
Who these terms apply to
These Plan terms apply when you buy a standard plan. A standard plan is a Team plan bought at the prices on our pricing page. This includes a first month on the Welcome offer.
If you have a signed Customer Agreement, these Plan terms apply only if that agreement adopts them. Enterprise plans are by contract only.
You can buy a standard plan if you’re based in the United States, the United Kingdom, or the European Union.
Plans and prices
All prices are in US dollars.
- Welcome offer: the first month of a Team plan, with 40 agent hours for $100. That’s 20 paid hours and 20 gift hours. Each Customer can use the Welcome offer once. You can start on Team without it.
- One month after you buy the Welcome offer, it renews automatically as Team with 40 agent hours for $200 a month, and keeps renewing each month until you cancel.
- We’ll email you at least 7 days before that first renewal.
- Any time before the renewal, you can cancel, and we won’t charge you again. Or you can choose a different Team package, which starts at the renewal.
- Team: a monthly package of 10–800 agent hours at $5 an agent hour. It renews automatically each month until you cancel.
- Top-ups: extra agent hours at $5 an agent hour, whenever you choose to buy them.
“Gift hours” are hours we give you at no charge, like the 20 that come with the Welcome offer. Every plan includes every feature.
Billing, tax, and non-payment
You pay in advance by card. Our payment provider, Stripe, processes your payments.
Prices don’t include tax. At checkout, Stripe adds any tax that applies and shows it to you before you pay.
If you’re in the UK or EU, you must give a valid VAT number at checkout, and reverse charge applies. We check the number’s format at checkout and confirm it with the tax authority afterward. If we can’t confirm it, we’ll tell you, and you’ll have 14 days to fix it. If you don’t fix it by then, we pause access until you do.
If a payment fails, we’ll tell you, and you’ll have 7 days to fix it. If you don’t fix it by then, we pause access until you do.
A pause never deletes your data. We turn access back on once the problem is fixed.
What an agent hour is
An agent hour is a fixed budget of model and tool spend, used at a pace we set. It isn’t measured with a clock.
- We track what each agent spends on models and tools in real time.
- We adjust how fast agents respond, so every agent hour spends the same budget.
- Your hours go down as agents spend. Waiting for you, for another system, or in the queue spends nothing, so it uses no hours.
- When several agents work at once, each one spends from your hours.
- The price of an agent hour covers model, processing, and infrastructure costs.
- An agent hour is an internal billing unit with no cash value. It isn’t a person’s time or work, it isn’t advice, and it isn’t a promise of any amount of output.
- We won’t slow the pace during a period you’ve paid for. Before we slow it, we’ll give you at least 30 days’ notice.
Rollover, expiry, and order of use
Paid hours are the hours you pay for: your monthly Team hours, any top-ups, and the 20 paid hours in your month on the Welcome offer.
Unused paid hours roll over for one month, then expire. For example, unused paid hours from your month on the Welcome offer roll over into your first full month on Team.
Gift hours don’t expire while your workspace is open.
We use the hours closest to expiring first, and gift hours last.
Hours have no cash value
You can use agent hours, including gift hours, only for Helmstead’s own service.
- They aren’t money, legal tender, e-money, stored value, or a financial instrument.
- You can’t cash them out.
- You can’t transfer them, except with a workspace transfer.
- We send refunds only to the original payment method.
We never hold funds for anyone else.
Running out of hours
When your hours run out, agents pause. Queued requests wait and start when you add hours.
We never charge you for going over your hours. You get more hours only when you choose to, through a top-up or a plan change.
Canceling and refunds
A workspace admin or your buyer of record can cancel at any time.
- Your cancellation takes effect at the end of your paid month. Until then, you can keep using your hours, and we won’t charge you again. This includes your month on the Welcome offer: if you cancel before it ends, Team never starts.
- If you haven’t used any of the hours from a purchase, you can get a full refund within 14 days of buying them.
- Gift hours don’t expire while your workspace stays open, even after you cancel.
- If we end your plan and you haven’t broken these Plan terms, we refund the unused part of your current paid month.
Pausing or ending service in the Terms of service explains what happens to your content afterward.
Changing plans
A workspace admin or your buyer of record can change your plan at any time, including during your month on the Welcome offer.
- Upgrades start right away. We charge the difference in price for the days left in your month.
- Downgrades start at your next renewal.
Unused hours carry over and follow the rollover rules above.
Rejected and failed work
Agent work uses your hours, even if you reject the result. If work fails because of a problem on our side, we give you back the hours it used.
Limits and Boost
Admins set how many agents can work at once, up to your plan’s maximum. The default is 4.
Requests over the limit wait in a queue, and time in the queue uses no hours. Boost lets more agents work at once. Each agent spends from your hours at the same rate, and there’s no Boost fee.
We may change default limits with notice, but never in a way that raises the price of an agent hour.
Price and Plan terms changes
We’ll tell you at least 30 days before we change prices or these Plan terms, by email and in Helmstead.
- Changes apply from your next renewal after that notice, and you can cancel before then.
- Changes never apply to the past. Hours you’ve already bought keep their price.
- Prices aren’t locked, so they can change with notice, as set out here.
Support
Email support@helmstead.co. We help as soon as we can, but standard plans don’t include a commitment on response times or uptime. Enterprise plans can include service levels.
AI output
AI can be wrong or incomplete. You and your users must review outputs, calculations, and proposed changes before relying on them. Helmstead’s outputs aren’t financial or accounting advice.
Liability
To the extent the law allows:
- Our total liability to you is limited to the greater of the fees you paid us in the 6 months before the claim, or $100.
- Neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
These limits don’t apply where mandatory law doesn’t allow them. Enterprise customers agree their own limits in their contract.
Governing law and disputes
Delaware law governs these Plan terms and the Terms of service, except where the DPA or mandatory law says otherwise.
Any dispute goes to the state or federal courts in Delaware, and we both agree to their jurisdiction. We don’t use arbitration.
